Associate Counsel/Transactional Attorney.

Raymour & Flanigan Furniture l Mattresses® seeks a junior attorney (3+ years' experience) to join its Legal Department at the company's campus in Liverpool, New York. Responsibilities include working on all aspects of the company's real estate portfolio, commercial contracts, corporate/LLC organizational documents, and other matters as required in a fast-paced work environment where excellence is the rule. On real estate matters, day-to-day responsibilities include drafting and negotiating purchase contracts and leases (both on the landlord and tenant sides); reviewing and negotiating loan documents and handling mortgage loan closings; performing due diligence on potential acquisitions, including title, survey, zoning and environmental matters; and preparing organizational documents and resolutions. Contract work requires negotiation of agreements with counterparties to software, SaaS/cloud-based, professional consulting and other vendor contracts, as well as contracts for products and tools necessary for the operation of our website and e-commerce platforms. The successful candidate may also work as needed on risk management, compliance and regulatory issues. The position requires an attorney who is confident, focused, organized, detail-oriented, and in possession of excellent written and oral communication skills. Commercial law firm experience a plus.
